Abstract

As a result of intensified fluctuation in the business environment, the role and responsibilities of the top management and the board were significantly increased over the last 5 years. Traditional forms of risks are being readjusted or reevaluated, taking into consideration the markets †volatility and the decrease in the assets value. Added to that, regulations implemented across Europe in financial sector with the aim of customer protection require a new set of principles to be applied in the process of long-term strategy. This is the point where the board of financial entities must understand and establish the impact caused by these new challenges on the value of the company. They must adapt their future strategy and policies in order to ensure sufficient profit levels, using efficiently the existing resources and also standing by the new objective of the European Directives on customer protection. This paper is aimed at analyzing the implementation of corporate governance in the South-Eastern part of Europe - revealing the opportunities and challenges of the financial entities in Romania, Bulgaria and Greece. The analysis is to provide a starting point for stakeholders when debating upon the status of compliance, governance principles, efficiency of the senior management of financial entities in this area of Europe.
